As a lawyer, I was frequently asked about if it is easy to incorporate a business in China or not.

Actully for the sole purpose of registration, it is not complicated. However, if you want to do a better one, it’s not easy.

For example:
when registering a company, you need to prepare the articles of incorporation, it’s easy to find models online or from the agent. However, the articles of incorporation is the baisc bylaws of a company, it’s corporate consitution, seting the basic rules on the formation of a company. If you want to take it seriously, you need to legal professionals to review it, in order to eliminate futhure risks and ensure legal compliance.
For the financial system of your business, it’s similar. A financial system of your business means how the money may be spent in your business organization. You may be able to randomly find it online, however it’s not easy if you want to have a better rules on how your business staff may do with the money.
Another example is for the registered place of your businss.
If only for the purpose of registering business, you could find any place randomly, in theory. However, if you want to take your business seriously, you need to spend time working on it.
The registered place of a company has the legal meaning in laws. For paying tax, it may affect the tax that you should pay, because tax rate will be varied by the registration place and charged by the relevant bureau. For any legal case in the future, you should evaluate the legal environment around that city or corresponding place. Most important, it’s your job to find a suitable place for your company. In some circumstances, the registration place may even affect the success chance of your business
