Offer and Invitation to Offer in the Contract Laws of China

According to the China civil laws, an offer is a proposal to create contract with others, this proposal shall meet the following:

  1. the content is specific and ascertainable’
  2. it demanstrate that once the offeree accepts it, the offeror shall be bound to the proposal.

An invitation to offer is an invitation for the counterparty to make an offer. Auction Anouncement, Bidding Anouncement,Capital Raising Prospectus, Commercial advertisement, Bond Rasing Plan, Mailed priced list, and etc, are of some common Invitation to offer.
